License's Duration of an Represenative Office (RO) not exceeds 5 years therefore foreign traders need to extend the license before it expires. In this Article, we will write about regulations and file for the extension.

At least 30 days prior to the expiry of the license, the foreign trader needs to apply for extension of the License for Establishment of representative office.

FILE

  1. An application form for extension of the License for Establishment of the representative office;
  2. Copies of the Certificate of Business registration or equivalent documents of the foreign trader;
  3. One of following documents relating to financial abilities/liabilites of foreign trader:

+ Copies of audited financial statements;

+ Certificates of fulfillment of tax liabilities or financial obligations of the last fiscal year;

+ Equivalent documents as proof of existence and operation of the foreign trader issued or certified by competent authorities where such foreign trader is established;

  1. Original of the existing License for Establishment of Representative Office.

Beside setting up a Business entity, foreign trader can choose to open a Representative Office (RO) in Vietnam that conducts market survey and a number of commercial promotion activities permitted by Vietnamese law. In this Article, we will write about Requirements and File to establish an RO in Vietnam.

REQUIREMENTS:

– The foreign trader is incorporated and registers for doing business in accordance with provisions of laws of countries or territories being parties to treaties to which Vietnam is a signatory or is recognized by the aforesaid countries or territories;

– The foreign trader has come into operation for at least 01 year from the date of establishment or registration;

– The Certificate of Business Registration or the equivalent document is valid for at least 01 more year from the date of submission of the application;

– The scope of operation of the representative office is consistent with that in Vietnam’s Commitments to treaties to which Vietnam is a signatory;

– Where the scope of operation of the representative office is inconsistent with Vietnam’s Commitments or the foreign trader is not located in the country or territory being party to treaties to which Vietnam is a signatory, the representative office can be established only if relevant Ministers, Heads of ministerial agencies (hereinafter referred to as “relevant Ministers”) have given approval for establishment of the representative office.

FILE:

  1. An application form for License for Establishment of RO;
  2. Copies of the Certificate of Business Registration or equivalent documents of the foreign trader;
  3. A letter of appointment of the head of the representative office;
  4. Copies of audited financial statements or certificates of fulfillment of tax liabilities or financial obligations of the last fiscal year or equivalent documents as proof of existence and operation of the foreign trader issued or certified by competent authorities where such foreign trader is established;
  5. Copies of the passport or ID card (for Vietnamese) or copies of the passport (for foreigners) of the head of the representative office;
  6. Documents on the expected location of the representative office.

To be licensed a new business in Vietnam, foreign investors need to go through 2 steps:


- Applying for Investment Registration Certificate (granted IRC);

- Applying for Enterprise Registration Certificate (granted ERC).

  1. Application File for Investment Registration Certificate

– Application for Investment Project Pmplementation;

– Investment Project Proposal;

– Explanation on financial ability of investor;

– A certified copy of Documents for proving the financial ability of investor;

– A certified copy of Document of land-use rights or other document to examine the rights using location for implementation of investment project;

– A certified copy of Legal documents of the investor;

– A certified copy of Legal documents of investor’s representative (in case the investor is an organization).

  1. Application for Enterprise Registration Certificate:

– Application for Enterprise Registration Certificate;

– Company Charter;

– A certified copy of Investment Registration Certificate;

– A certified copy of Legal documents of the enterprise’s legal representative;

– A certified copy of Legal documents of the Company Owner;

– List of Representative of Owner (in case the company owner is an organization).
